These terms and conditions apply to the access and use of this Website.
1. Definitions and terminology
1.1 In these terms and conditions:
- (a) a reference to "we", "us" and "our" (or any cognate expression) is a reference to SAVIORA Technologies Pty Ltd (ACN 701 573 855);
- (b) a reference to "you" or "your" (or any cognate expression) is a reference to any user of this Website or the Fraud Finder Services via the Fraud Finder Application (as defined below);
- (c) Fraud Finder Application currently means https://app.fraudfinder.com.au/;
- (d) Fraud Finder Fees mean the fees for the Fraud Finder Services as specified in the Website from time to time;
- (e) Fraud Finder Services means the services described in the Website, delivered via or through the Fraud Finder Application;
- (f) Intellectual Property Rights means any and all present and future rights conferred by
statute, common law or equity (whether or not in a material form) recognized anywhere in the
world, in and in relation to:
- (i.) patents, trade marks, copyright and designs (whether registered or unregistered);
- (ii.) any application or right to apply for registration in respect of, or renew or extend, any of the rights described in paragraph (i.) or (iii.) of this definition; and
- (iii.) circuit layouts, database rights, software developments, rights subsisting in computer programs (including both source and object codes), processes, inventions, specifications, formulas, know-how, research data, improvements in procedure, discoveries and any other similar results of intellectual activity in the industrial, commercial, scientific, literary or artistic fields.
- (g) Terms of Service means our plain English terms of service specified in the Website;
- (h) Website means www.fraudfinder.com.au.
2. Acceptance of these terms and conditions
In accessing and using this Website and the Fraud Finder Services through or via the Fraud Finder Application you agree to be bound by these terms and conditions and the Terms of Service. If you do not accept these terms and conditions or the Terms of Service, you must refrain from accessing or using the Fraud Finder Services via the Fraud Finder Application.
3. Terms of Service - Fraud Finder
3.1 These terms and conditions should be read together with our plain English Terms of Service (which form part of these terms and conditions). However, if and to the extent of any inconsistency between these terms and conditions and the Terms of Service then the Terms of Service will prevail but only to the extent of such inconsistency.
4. Amendments to these terms and conditions and the Terms of Service
4.1 We may amend (including by updating and/or replacing) these terms and conditions and / or the Terms of Service from time to time. We will give you notice (by email or by notification on the Fraud Finder Application on your next login) of the amendments and if you continue to access and use the Fraud Finder Services via the Fraud Finder Application after notice then you are taken to have agreed to the amendments.
5. Access and use the Fraud Finder Services via the Fraud Finder Application
5.1 You must (at your cost) take reasonable and appropriate steps to ensure that your use of the Fraud Finder Services via the Fraud Finder Application will not expose you to malicious computer code (such for example viruses and phishing etc) or other forms of interference that may damage or interfere with your computer, software, data and information systems (including personal and sensitive information that you may hold from time to time) (the "system"). This includes (but is not limited to) the use and maintenance of up-to-date anti-virus and anti-phishing software. For the avoidance of doubt, we do not accept responsibility for any interference or damage to your system that arises as a result of or in connection with your access to and use of the Fraud Finder Application.
5.2 The Website, the Fraud Finder Application and the Fraud Finder Services may not always be available or accessible. The availability or accessibility may be affected by, among other things, the internet, power outages and other electronic or electro-magnetic disruption or interruption as well as system, software and infrastructure maintenance and upgrades that we or our service providers need to carry out from time to time. Where we can help it, we generally try to procure system, software and infrastructure maintenance and upgrades outside of business hours, but this will not always be possible particularly if the matter is not within our control. We are not responsible or liable to you for the availability, unavailability, loss of, interruption or disruption to the electronic platform for any of the reasons stated in these provisions.
5.3 Your access to the Fraud Finder Services is subject to the Fair Use Policy (within the Terms of Service).
5.4 You may only access and use the Fraud Finder Services if you are an:
- (a) 'Australian Credit License' or 'Australian Financial Services License' holder;
- (b) 'Individual Authorised Representative' of an 'Australian Credit License' or an 'Australian Financial Services License' holder;
- (c) An 'Authorised Deposit Taking Institution'; or
- (d) such other person or entity that we authorise in writing.
We may require you to verify your license and / or authorization credentials in order to access and use or to continue to access and use the Fraud Finder Services via the Fraud Finder Application including by requiring you to supply documents we reasonably require for such purposes.
6. Website hosting in Australia
6.1 This Website is hosted on a server that is located in Australia. We do not represent or warrant that we are permitted to provide the Fraud Finder Services in any jurisdiction other than Australia. You must ensure that your access to or use of the Fraud Finder Application is not illegal or prohibited by laws which apply to you.

8. User Account - Fraud Finder Services
8.1 In order to access the Fraud Finder Services via the Fraud Finder Application you must maintain a user account. To open and maintain a user account you need to give us certain information that we specify from time to time.
8.2 In connection with your user account and your use of the Fraud Finder Services you must:
- (a) supply accurate information that is not misleading or deceptive or likely to mislead or deceive at the time of your application (or whenever you place an order) and you must promptly update the information supplied if / when it changes;
- (b) follow all our reasonable directions in relation to your access to, and use of, the Fraud Finder Services via the Fraud Finder Application;
- (c) not impersonate any other person or entity;
- (d) not intentionally or negligently cause any part of our Intellectual Property Rights in the website, the Fraud Finder Services or the Fraud Finder Application to be prejudicially affected or contested;
- (e) not grant (or purport to grant) any license or sub-license of any kind in any part of this Website, the Fraud Finder Services or the Fraud Finder Application to any party;
- (f) not grant (or purport to grant) any 'security interest' (as defined in the Personal Property Security Act 2009 (Cth)) of any kind in respect of our Intellectual Property Rights or interests in this Website, the Fraud Finder Services or the Fraud Finder Application;
- (g) not under any circumstances copy, reproduce, translate, adapt, vary or modify any part of our Intellectual Property Rights or interests in this Website, the Fraud Finder Services or the Fraud Finder Application or encourage anyone else to do so either;
- (h) not deal (or purport to deal) with any part of our Intellectual Property Rights or interests in the Website, the Fraud Finder Services or the Fraud Finder Application in any manner which is inconsistent with these terms and conditions or the Terms of Service;
- (i) not share your username or password with any other person or authorise any other person, entity or business to access the user account and avail use of the Fraud Finder Services via the Fraud Finder Application;
- (j) promptly report to us in writing any breach by you of the provisions of the sub-clauses of clause 8.2 of which you become actually aware.
8.3 You may not use the Fraud Finder Services to engage in conduct that is unlawful; interferes with any other person's access to the Fraud Finder Application; is defamatory, harassing or threatening to any person; promotes or encourages physical or mental harm of any person; promotes violence against any person; or threatens or promotes fraud, terrorism or money laundering.
8.4 Your access to or use of the Fraud Finder Services via the Fraud Finder Application does not:
- (a) entitle you to obtain a copy of any software in connection with the Fraud Finder Services or the Fraud Finder Application (it only entitles you to use the Fraud Finder Services via the Fraud Finder Application);
- (b) grant you any proprietary right or interest in our Website, its content, the Fraud Finder Services or the Fraud Finder Application.
8.5 You must do everything reasonably necessary to ensure that your password (used to access the Fraud Finder Services via the Fraud Finder Application) is not misused, lost or stolen. If your password is misused, lost or stolen then you must tell us as soon as you are aware of the matter. You must keep your password secret and secure. Memorise your passcode but never write it down. Destroy any correspondence notifying you of a passcode.
9. Using Fraud Finder Services
9.1 On each occasion you use the Fraud Finder Services you represent and warrant to us:
- (a) you are appropriately authorised to do so; and
- (b) your use of Fraud Finder Services is for reasonable, legitimate and for lawful purposes only; and
- (c) you will take reasonable steps to ensure that you do not supply content that contains or is likely to contain malicious computer code (such as viruses etc), that may damage our computer, data and / or software systems or those of any third party service provider that we engage to assist us from time to time.
10. General Website content
10.1 Whilst we have no reason to believe that any content provided on this Website is inaccurate, we do not under any circumstances warrant the accuracy, adequacy or completeness of such content.
10.2 Responsibility for the content (including links to content) including advertisements of third parties appearing on the Website rests solely with the third party content supplier. Such content does not constitute a recommendation or endorsement by us of the content.

11.1 Copyright in this Website and the Fraud Finder Application (including text, graphics, logos, icons, sound recordings and software) is owned by or licensed to us. Other than for the purposes of, and subject to the conditions prescribed under, the Copyright Act 1968 (Cth) and similar legislation which applies in your location, and except as expressly authorised by these terms and conditions, you may not in any form or by any means:
- (a) adapt, reproduce, store, distribute, print, display, perform, publish or create derivative works from any part of this Website or the Fraud Finder Application; or
- (b) commercialise any information, products or services obtained from any part of this Website or the Fraud Finder Application,
without our prior written consent (which may be withheld in our absolute discretion).

14. Withholding
14.1 If you are required by law to deduct or withhold taxes from a payment you make to us, you must:
- (a) make that deduction or withholding (and any further deductions or withholdings contemplated by the paragraph below), pay to the appropriate government agency an amount equal to the full amount deducted and/or withheld as required by law and give us the original receipt for the payment; and
- (b) pay additional amounts to us which will result in us receiving at the time the payment is due (after deduction or withholding of any taxes in respect of any additional amount) the full amount which we would have received if no deduction or withholding had been required.
15. Limitation of our liability
15.1 To the extent permitted by law, any condition or warranty which would otherwise be implied into these terms and conditions is hereby excluded. Where legislation implies any condition or warranty, and that legislation prohibits us from excluding or modifying the application of, or our liability under, any such condition or warranty, that condition or warranty will be deemed included but our liability will be limited for a breach of that condition or warranty to the supplying of the services again; or the payment of the cost of having the services supplied again.
15.2 Despite any other provision in these terms and conditions to the contrary, nothing in these terms and conditions attempts or purport to exclude liability arising under statute if, and to the extent, such liability cannot be lawfully excluded.
16. Website and Fraud Finder commercialisation
16.1 You may not without our prior written consent (in our absolute discretion) on-sell or commercialise in any way our Website, the Fraud Finder Services or the Fraud Finder Application.
16.2 You must not (and must not procure anyone else to) register or record or attempt to register or record any Intellectual Property Rights derived from our Website, the Fraud Finder Services or the Fraud Finder Application, or aid or abet anyone else in doing so.
17. Governing law
These terms and conditions are governed by the laws in force in New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia (and any court of appeal) and you waive any right to object to an action being brought in those courts, including on the basis of an inconvenient forum or those courts not having jurisdiction.
18. Severability
A provision of these terms and conditions that is illegal, invalid or unenforceable in a jurisdiction is ineffective in that jurisdiction to the extent of the illegality, invalidity or unenforceability. This does not affect the validity or enforceability of that provision in any other jurisdiction, nor the remainder of this document in any jurisdiction.
19. Pricing
Any pricing published on the Website or the Terms of Service is subject to change by us giving you not less than 30 days prior written notice.
20. GST
Unless otherwise specified, all amounts quoted are exclusive of GST (as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth)).
21. Prompt performance
If a time is not specified for the performance by a party of an obligation (including the payment of any amount) under these terms and conditions, it must be performed promptly.
22. Force majeure
We are not liable for any failure to perform or any delay in performing our obligations under these terms and conditions if that failure or delay is due to anything beyond our reasonable control. These events may include (but without limitation) disruption to postal, delivery and transportation, payment systems, communications and data and internet systems including third party supplied cloud support services.
23. Consent and waivers
A consent or waiver by us is effective only if in writing. If given subject to conditions, the consent or waiver only takes effect when the conditions are complied with to our satisfaction.
24. Other interpretation provisions
24.1 No rule of construction applies to our disadvantage merely because we were responsible for the preparation of, or sought to rely on, these terms and conditions or any part of it.
24.2 In these terms and conditions (unless otherwise expressly stated):
- (a) the singular includes the plural and vice versa;
- (b) headings are for convenience only and do not affect interpretation;
- (c) other grammatical forms of defined words or expressions have corresponding meanings;
- (d) a reference to a party to this document includes that party's successors and permitted assigns;
- (e) a reference to a user, party or person includes a company, legal entity or body of persons;
- (f) a reference to a deed, document or agreement includes that deed, document or agreement as novated, amended, altered or replaced;
- (g) a reference to anything includes the whole or any part of that thing and a reference to a group of things or persons includes each thing or person in that group;
- (h) dollars and $ or A$ refers to Australian currency unless otherwise specified;
- (i) words implying natural persons include partnerships, bodies corporate and associations;
- (j) a reference to legislation or statutory instrument or a provision of any legislation or statutory instrument includes modifications or re-enactments of the legislation or statutory instrument, or any legislative or statutory provision substituted for, and all legislation and statutory instruments and regulations issued under the legislation; and
- (k) an expression not otherwise defined in this document has the same meaning as in the Acts Interpretation Act 1901 (Cth) or the equivalent State legislation, as applicable; and
- (l) the words "include", "including", "for example" or "such as" are not used as, nor is it to be interpreted as, a word of limitation and when introducing an example, do not limit the meaning of the words to which the example relates to that example or examples of a similar kind.
